<b>APPLICATION FOR SPACE
</b><br /> Application for space in the exhibition shall be made on the official Application Form provided overleaf. The individual Exhibitor or a duly authorized signatory of the participating company as the case may be must sign the Form. In respect of a Company, upon receipt of the signed Application Form, the Organiser shall deem it to have been duly approved by its Board of Directors. In the case of an individual Exhibitor, the Form should clearly state the full name of the Exhibitor. On receipt of an Application together with the initial payment, the Organiser shall issue an official confirmation of acceptance. Thereupon it shall bind the Exhibitor (be it an individual or a Company) in participating at the said exhibition and accordingly, the Exhibitor hereby agree to observe the Rules
& Regulations of the Organiser (these may be amended from time to time at the Organiser's sole discretion, and the Exhibitor shall be notified of such amendments if any). The Organiser reserves the absolute right to refuse or to accept an Application at their discretion without need of having to assign any reasons whatsoever.
<br />
<td>The prescribed payment schedule for space rental and Organiser's display stand package is as follows :
<td>25% upon signing of contract.

</td> <td>Full payment will be required for applications received after the designated cut-off date for each exhibition.

The total exhibition cost quoted overleaf represents payment for the site only, and all other goods, works and services as may be required by the Exhibitor shall be payable in addition thereto by the Exhibitor.
<br />
<b>Exhibitors will not be allowed to occupy their space or set up display stands if the payment terms specified in the contract are not adhered to. The Organiser reserves the right to terminate this contract, after giving 7-days notice, if the exhibitor do not honour the payment terms. Payments received to date shall not be refunded or transferable to other shows. These terms cannot be varied under any circumstances whatsoever.
</b><br />
Interest at the rate of 2% per month will be charged on any amount still outstanding after 14 days from the due date for payment until full payment is made.
<br />
<u>CANCELLATION OF EXHIBITION SPACE
</u><br /> In the event of the Organiser agreeing to any request for release from the contract, the Exhibitor will be liable for all or part of the costs stated in the contract overleaf based on the following scale charges:
<br /> Cancellation 271days or more before the exhibition date 30% of cost
<br /> Cancellation between 270 and 181 days 50% of cost
<br /> Cancellation between 180 and 121 days 60% of cost
<br /> Cancellation between 120 and 61 days 80% of cost
<br /> Cancellation 60 days or less before the exhibition date full cost
<br />
These scale charges will apply only based on the date the Organiser receives written notice by letter, email or fax and duly acknowledged by the Organiser. In addition to this scale, the Exhibitor will be liable for any specific cost incurred on his behalf by the Organiser. Interest at the rate of 2% per month will be charged on any amount outstanding until payment is made.
<br />
<b>These terms cannot be varied under any circumstances.
</b><br />
<u>FAILURE TO EXHIBIT AND PRODUCTS TO EXHIBIT
</u><br /> Any Exhibitor, which, having signed a contract for exhibition space fails to exhibit regardless of whatever reasons and has not been released from the contract by the Organiser, shall be liable for the full amount stated in the contract plus any additional costs incurred by the Organiser as a result of such failure to exhibit.
<br />
All exhibits displayed and promotion materials provided during the Exhibition should be as those declared in the Contract, and in due compliance with the overall theme and promotion spirit of the said prescribed Exhibition.
<br />
The Organiser reserves the absolute right to evict the Exhibitor and to remove, stop and terminate all services, promotions and displays deemed offensive, not in compliance with the laws and or any regulation policies of any Government Agency in Indonesia without any compensation whatsoever to the Exhibitor.
<br />
<u>LIMITATION OF LIABILITY AND INDEMNITY
</u><br /> <td>To the extent permissible under the law, the Organiser, its officers, directors, employees, servants or agents shall not be liable for :
<td>the safety of the Exhibitor, its staff, servants, agents, contractors or invitees during the exhibition.
</td> <td>any damage to or loss of exhibits, articles or other property of whatever kind brought in to the exhibition by the Exhibitor, its staff, servants, agents, contractors or invitees or members of the public; or
</td> <td>any other damages or loss (including without limitation, to loss of goodwill or business profits, interruption due to work stoppage, data loss, computer failure or malfunction, and all other commercial damages or losses or exemplary, aggravated, punitive or such similar damages whether arising out of contract, tort or any other legal theory).
</td>

<td>The Organiser shall not in any event be held responsible or liable for any restrictions or conditions which prevent the construction, erection, completion, alteration or dismantling of the display stands of the Exhibitor, siting or removal of exhibits, or for the failure of any services or amenities provided by the hall landlords or other third parties' service providers.
</td> <td>While the Organiser may provide general information on the relevant legal requirements applicable to the Exhibitor (including the licences and permits which the Exhibitor has to obtain), the Organiser shall not be responsible for any errors or omission and the Exhibitor is solely responsible for ensuring that all legal requirements have been complied with.
</td> <td>The Organiser shall not be responsible for the acts or omission of any contractor appointed by the Organiser to provide any products or services to the Exhibitor.
</td> <td>In the event that the Organiser is found by a court of competent jurisdiction or any other competent authority or tribunal to be liable notwithstanding the inclusion of this clause, the aggregate total absolute liability of the Organiser for all claims made by the Exhibitor in respect of any loss or damage incurred or suffered shall not exceed the amount paid by the Exhibitor to the Organiser for the space rental at the exhibition during which the loss or damage was incurred or suffered. This limitation does not apply to claims in respect of personal injury or death.
</td> <td>The Exhibitor shall indemnify and hold the Organiser harmless in respect of any and all loss, damage, expense (including legal costs on a solicitor and client basis), or liability (whether criminal or civil) and costs of settlement suffered or incurred by the Organiser due to any act, omission, neglect or default of the Exhibitor, its staff, servants, agents, contractors or invitees, and any claims by any third party that any exhibit, service or other material or information exhibited, provided or used by the Exhibitor infringes the intellectual property rights or any other rights of any party. The indemnity provided under this clause shall survive the termination of this contract and is in addition to any other remedy, which the Organiser is entitled to under the law.
</td>
The Exhibitor must not transfer, dispose of or part with or otherwise sublet the whole or any part of his site, whether for financial consideration or otherwise whatsoever. The Exhibitor must, if he is an agent, distributor or licensee, state at the time of contract or through the Exhibitor Manual forms, the name of the principals represented. This does not prohibit an Exhibitor displaying the products of a principal for whom the Exhibition is the agent, distributor or licensee appointed after the time of signing of contract, but subject to prior written permission of the Organiser.
<br />
Exhibitors must ensure that they are fully covered by insurance including, but not restricted to, all risks on their property, exhibits or articles of any kind, public liability and comprehensive protection against any loss or damage caused whether by reason of fire, water, theft, accident or any other cause or under any circumstance whatsoever.
<br />
The Exhibitor shall insure against, indemnify and hold the Organiser harmless in respect of any and all of the Exhibitor's liability against all other parties. If the Organiser so demands, the Exhibitor shall provide proof to the Organiser that the Exhibitor has adequate insurance cover. Exhibitors shall ensure that their temporary staff and the staff of their servants, agents or contractors are insured against claims for workman's compensation.
<br />
The period for such insurance coverage shall commence and be maintained at all material time when the Exhibitor or any of his servants, agents or contractors first enters the exhibition grounds until vacating from the exhibition grounds and all his exhibits and property have been removed.
<br />
<u>GROUP DISPLAY STANDS
</u><br /> Contracting parties for group display stands are responsible for ensuring that all Exhibitors within their group are fully aware of and agree to abide by these Terms and Conditions and the Rules and Regulations of the exhibition.
<br />
<u>UNFORSEEN OCCURRENCES
</u><br /> In the event of any unforeseen occurrences not covered in these Rules and Regulations, the decision of the Organiser shall be final.
<br />
The Exhibitor grants permission and approval to the Organiser to publish before, during and after the exhibition any and all press releases, photographs, product information, and brochures sent to the Organiser for purpose of obtaining publicity for the exhibition and/or Exhibitor. The Exhibitor guarantees that all graphic elements, designs and photos are either:

</td> <td>paid for by the Exhibitor or,
</td> <td>already in the public domain such that the Organiser cannot be sued for copyright violation.
</td>
<u>GOVERNING LAW AND JURISDICTION
</u><br /> The above Terms and Conditions and the Contract signed and executed between the Organiser and the Exhibitor shall be governed by the laws of Republic of Indonesia, and the parties shall submit to the non-exclusive jurisdiction of the courts of Republic of Indonesia.
<br />
The above Terms and Conditions together with the Contract shall bind all heirs, successor-in-title, representatives, nominees and all legal assigns of the Exhibitor.
